What is the difference between an asset deal and a share deal?
In an asset deal you buy specific items - machines, stock, contracts, IP - and leave the legal entity with the seller, so historical liabilities generally stay behind. In a share deal you buy the company itself, including its history, contracts, licences and tax position.
How is VAT handled on equipment sold between Baltic countries?
Intra-EU business-to-business supplies of goods are generally zero-rated for the seller when the buyer provides a valid VAT number and the goods physically move between member states, with the buyer accounting for VAT locally. Keep transport evidence, and take local tax advice on your specific case.
Can I inspect equipment before buying?
Yes. Every asset listing includes an inspection option, and most sellers will run the machine under power for a serious buyer. Video inspections are standard for international buyers.
Who arranges dismantling and transport?
It is negotiable and should be stated in the sale agreement. Many Baltic sellers will include dismantling for a fixed fee; heavy machinery usually requires a specialist rigging contractor.
